Terms of Service

1. Acceptance of Terms
By accessing or using the website at https://sytharia.com or engaging Sytharia for services, you agree to be bound by these Terms of Service. If you do not agree, do not use the website or our services.
2. Services
Sytharia provides software development services, including but not limited to:
- Web development and design
- AI automation and integration
- Custom software development
- Technical consulting
Specific deliverables, timelines, and costs are defined in individual project agreements or statements of work agreed upon before work begins.
3. Intellectual Property
Client work. Upon full payment, all custom code, designs, and deliverables created specifically for a client become the client's property. Sytharia retains the right to display the work in portfolio and case studies unless otherwise agreed in writing.
Pre-existing materials. Any pre-existing tools, libraries, frameworks, or code owned by Sytharia that are incorporated into client projects remain the property of Sytharia. Sytharia grants a perpetual, non-exclusive license to use such components within the delivered project.
Third-party components. Projects may incorporate third-party libraries and open-source software subject to their respective licenses. Sytharia will disclose the use of significant third-party components.
4. Payment Terms
- Invoicing: Payment terms are defined in each project agreement. Unless otherwise stated, invoices are due within 14 days of receipt.
- Late payment: Late payments may incur a fee of 1.5% per month on the outstanding balance. Work may be paused if payment is more than 15 days overdue.
- Expenses: Third-party costs (hosting, domain registrations, API fees, stock assets, etc.) are billed separately at cost unless otherwise specified.
- Currency: All prices are quoted in USD unless otherwise agreed.
5. Project Cancellation
- By the client: The client may cancel at any time with written notice. Payment is due for all work completed up to the cancellation date. Any deposits paid are non-refundable if work has commenced.
- By Sytharia: Sytharia reserves the right to cancel a project if the client is unresponsive for more than 30 days, breaches these terms, or engages in conduct that prevents project completion. Completed work remains billable.
- Deliverables: Upon cancellation, all completed work and source code for paid portions will be delivered to the client within 14 business days.
6. Revisions
- Each project includes a defined number of revision rounds as specified in the project agreement.
- Revisions within scope are included in the project price. Additional revisions beyond the agreed scope will be billed at an hourly rate agreed upon before work begins.
- A revision is defined as a set of changes submitted together. Multiple change requests submitted in sequence count as separate revisions.
- Revisions apply to design and content within the project scope. Changes that alter the fundamental scope or requirements of the project are treated as change requests, not revisions.
7. Client Responsibilities
- Provide timely feedback, approvals, and content (text, images, branding assets) needed for the project.
- Designate a single point of contact with decision-making authority.
- Ensure all provided content does not infringe on third-party intellectual property rights.
- Maintain confidentiality of project-related credentials and access provided by Sytharia.
8. Limitation of Liability
To the maximum extent permitted by law:
- Sytharia's total liability for any claim arising from or related to our services shall not exceed the total amount paid by the client for the specific project giving rise to the claim.
- Sytharia shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
- Sytharia does not guarantee that delivered software will be error-free, uninterrupted, or immune to all security vulnerabilities.
9. Warranty
Sytharia warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. A warranty period of 30 days after final delivery covers defects in the delivered work. During this period, Sytharia will fix bugs or issues caused by our work at no additional cost.
This warranty does not cover issues caused by third-party services, client modifications, or misuse of the delivered software.
10. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the course of a project. This includes business plans, technical details, source code, and any information marked as confidential. This obligation survives the termination of the business relationship for a period of two years.
11. Termination
Either party may terminate a project agreement with 14 days' written notice. Upon termination, the client pays for all work completed to date, and Sytharia delivers all completed work within 14 business days. Sections on intellectual property, limitation of liability, confidentiality, and governing law survive termination.
12. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes shall be resolved through good-faith negotiation first, followed by binding arbitration in Cairo if negotiation fails.
13. Changes to These Terms
We reserve the right to update these terms at any time. Changes will be posted on this page with an updated date. Continued engagement with our services after changes constitutes acceptance of the updated terms.
